Upcoming change in governance for Compagnie des Alpes


Paris – November 27, 2020 – The Board of Directors of Compagnie des Alpes envisions that, when the term of
office of its Chairman and CEO Dominique Marcel expires, the roles of board chairman and chief executive
officer of the company will be separated going forward.

As part of this process, during the shareholders annual meeting which will be held next March, the Board of
Directors intends to recommend that Dominique Marcel be re-elected to the board and that he be appointed

to serve as non-executive Chairman of this Board. Consequently, the Board of Directors wishes to launch a
recruiting process, to be carried out under the auspices of its Appointments and Compensation sub-
committee, aimed at hiring a new CEO.

The Board of Directors would like to commend Dominique Marcel in particular for his engagement and the
remarkable work he has accomplished to transform and develop the company while improving its
performances.

In a challenging context, maintaining Dominique Marcel in his capacity as chairman will allow him to contribute
to reflections about strategy and the group’s development, which in turn will ensure that the transition and
the implementation of a new stage in the company’s history will occur under the best conditions.
