Partenariat TF1 - Discovery Communications

En application des accords initiaux, le groupe TF1 a décidé, d’un commun accord avec Discovery Communications :

d’exercer son option de vente de sa participation de 49 % détenus dans Eurosport, pour un montant de 491 M€ ;
de racheter à Discovery les 20 % détenus dans les chaînes payantes (TV Breizh, Histoire, Ushuaïa), pour un montant de
14,6 M€.

Discovery et le groupe TF1 se félicitent des excellentes relations créées depuis le début de leur partenariat en 2012. Après une
première phase de prises de participations capitalistiques créatrices de valeur, qui ont permis d’accélérer le développement
d’Eurosport et des chaînes thématiques, les deux groupes entendent prolonger leur collaboration dans les prochaines années.

La réalisation de ces opérations devrait intervenir au début du quatrième trimestre.




TF1 – Discovery Communications Partnership

In accordance with the initial agreements between TF1 and Discovery Communications, the TF1 group has decided, by mutual
agreement with Discovery, to:

exercise its put option over its 49% equity interest in Eurosport for an amount of €491m;
buy back Discovery’s 20% interest in the pay-TV channels (TV Breizh, Histoire, Ushuaïa) for an amount of €14.6m.

Discovery and TF1 are delighted by the excellent relationship that has existed between the two groups since they began their
partnership in 2012. After an initial phase of creating value via acquisitions of equity stakes, which accelerated the development of
Eurosport and the theme channels, the two groups intend to continue their collaboration over the years ahead.

Both transactions are expected to close at the beginning of the fourth quarter.
