Le 16 avril 2013 Communiqué de presse Suite à l’acquisition le 31 décembre 2012 par la société Al Ayuni Investment & Contracting 1 Company de 565.632 actions de la société SIRAGA représentant 73,84% du capital social et 73,06% des droits de vote de celle celle-ci, et conformément à l’article 234-2 du Règlement général 2 de de l’AMF, la société Al Ayuni déposera un projet d’Offre publique d’achat visant l’intégralité du capital de SIRAGA le 23 avril 2013. L’Offre L’Offre devrait être réalisée selon la procédure simplifiée conformément aux dispositions de l’article 233-1 2° du Règlement général de l’AMF, et serait suivie le cas échéant d’une 1 procédure de retrait obligatoire. La cotation des actions Siraga est suspendue depuis le 26 novembre 2012 et devrait es reprendre à l’ouverture de l’offre. Le Le prix d’offre envisagé, conformément à l’article 234 6 du Règlement général de l’AMF, est 234-6 de 11,00 € par action, sous réserve de l’obtention de la déclaration de conformité de l’AMF l’obtention sur sur le projet d’offre qui sera déposé par Al Ayuni. Le prix offert est 12,5 fois supérieur au prix auquel Al Ayuni a acquis le contrôle de SIRAGA (sur la base d’un prix de 0,88 euro par action) et présente une prime de 8,4% sur le prix de marché des actions SIRAGA au 26 novembre 2012, dernier jour de cotation avant la suspension. Le cabinet BDO, nommé le 11 février 2013 en qualité d’expert indépendant chargé de remettre un avis quant au caractère équitable des termes et conditions financières de l’Offre, suivie, suivie, le cas échéant, d’un retrait obligatoire, a remis son rapport au conseil d’administration de Siraga le 10 avril 2013. La conclusion de l’expert est reprise ci ci-après : « La présente offre fait suite à l’acquisition par Al-Ayuni Ayuni d’un bloc de titres représentant 73,84% du capital de la société Siraga. A l’issue de nos travaux, nous observons que le prix de 11€ par action offert dans le cadre de de la présente offre : Est très supérieur au prix payé par l’actionnaire de référence de la Société à l’occasion - de la transaction qui lui a permis d’acquérir un bloc représentant 73,84% des actions et qui était de 0,88 € par action. Après analyse du contrat, en l’absence d’accord 8 complémentaire pouvant avoir une incidence sur les conditions financières de la transaction, il nous est apparu que cette transaction qui est intervenue dans des conditions particulières, la société étant alors en procédure de conciliation, ne pouvait constituer une référence dans le cadre de la présente évaluation ; Fait ressortir une prime de 29,4 % par rapport à la valeur centrale issue de l’analyse - des flux futurs actualisés (DCF) sur la base du plan d’affaires établi par le management de la société le 3 février 2013 sans prise en compte des éventuelles synergies et de la www.siraga.com/Exercice_2013_2014 om/Exercice_2013_2014 1 stratégie stratégie du nouvel actionnaire, étant rappelé que le plan d’affaires repose sur des hypothèses économiques dont la variation est susceptible d’entraîner des impacts très variation sensibles sur la valeur ; Offre une prime de 59 % par rapport au cours moyen pondéré par les volumes sur une - période d’un an et imputation de la perte par action constatée au titre du premier semestre 2012/2013. BDO, appointed on 11 February 2013 as the independent expert, so as to hand down an opinion regarding the fairness of the financial terms and conditions of the Offer, followed, where where applicable, by a squeeze out, has given its report to the board of Siraga as of April 10, 2013. The conclusion of the expert is given below : « This offer is being made further to the acquisition by Al Ayuni of a block of shares representing representing 73.84% of the capital of Siraga. Our Our report has been drawn up in accordance with Article 261 1 I and II of the General 261-1 Regulation of the AMF. Upon completion of our work, we have established that the price of € 11 per sh share proposed within the framework of this offer: is far higher than the price paid by the Company’s reference shareholder at the time of - the transaction which enabled it to acquire a block representing 73.84% of the shares, i.e. € 0.88 per share.
