D'Ieteren accroît sa participation dans Belron de 4,5%

D'Ieteren s.a. annonce qu'elle a conclu un accord avec Cobepa aux termes duquel
elle achète à Cobepa 5,53% du capital de leur filiale Dicobel, actionnaire à 81,73% de
Belron. A la suite de cette transaction, D'Ieteren et Cobepa détiendront
respectivement 75,53% et 24,47% de Dicobel. D'Ieteren détiendra, directement et
indirectement (via Dicobel), 73,73% de Belron (vs 69,21% avant la transaction).

Cette transaction valorise les fonds propres de Belron à environ EUR 690 millions.

Cet accord confirme également, pour les prochaines années, le partenariat entre
D'Ieteren et Cobepa relatif à Belron et la confiance des actionnaires dans la stratégie
et l'équipe de direction très performantes de Belron. Des mécanismes de liquidité
sont prévus pour Cobepa.

Pour rappel, D'Ieteren s.a. avait déjà acquis, en juillet 2004, 12% de Belron s.a.
auprès de divers actionnaires minoritaires.

D'Ieteren verhoogt zijn belang in Belron met 4,5%

D'Ieteren n.v. kondigt aan een akkoord te hebben gesloten met Cobepa krachtens
hetwelk zij van Cobepa 5,53% overnemen van het kapitaal van hun
dochtermaatschappij Dicobel, die 81,73% van Belron in handen heeft. Door deze
transactie zullen D'Ieteren en Cobepa respectievelijk 75,53% en 24,47% van Dicobel
bezitten. D'Ieteren zal dan, op directe en indirecte wijze (via Dicobel), 73,73% van
Belron bezitten (vs 69,21% voor de transactie).

Deze transactie waardeert het eigen vermogen van Belron op ongeveer EUR 690
miljoen.

Dit akkoord is tevens een bevestiging, voor de komende jaren, van het partnerschap
tussen D'Ieteren en Cobepa wat Belron betreft en van het vertrouwen van de
aandeelhouders in de zeer performante strategie en directieteam van Belron. Er zijn
voor Cobepa liquiditeitsmechanismen voorzien.

Ter herinnering : D'Ieteren n.v. had reeds, in juli 2004, 12% overgenomen van Belron
s.a. van diverse minderheidsaandeelhouders.

D'Ieteren increases its interest in Belron by 4.5%

D'Ieteren s.a. has concluded an agreement with Cobepa whereby it purchases 5.53%
of their subsidiary Dicobel, which owns 81.73% of Belron. Subsequently, D'Ieteren
and Cobepa will own respectively 75.53% and 24.47% of Dicobel. D'Ieteren will own,
directly and indirectly (through Dicobel), 73.73% of Belron (vs 69.21% before the
transaction).

This transaction values the equity of Belron at around EUR 690 million.

The agreement confirms, for the next several years, the D'Ieteren-Cobepa partnership
relative to Belron and the shareholders' confidence in the successful leadership team
and strategy of Belron. Liquidity mechanisms for Cobepa have been provided for.

As a reminder, in July 2004, D'Ieteren s.a. had already acquired 12% of Belron's
equity capital from various minority shareholders.
