Emission publique d’un emprunt obligataire
de EUR 100 millions

D'Ieteren s.a. annonce qu'elle offrira dès ce 24 juin 2005 en souscription
publique en Belgique, au travers de sa filiale D'Ieteren Trading b.v., un
emprunt obligataire à 10 ans de EUR 100 millions au taux nominal brut de
4,25%. Cette levée de fonds s'inscrit dans la stratégie de diversification des
sources de financement et est destinée aux besoins généraux de la société.

La période de souscription s'étend jusqu'au 25 juillet 2005, sous réserve
cependant de clôture anticipée. D'Ieteren a mandaté les banques Fortis et
KBC comme lead managers de cet emprunt. Les obligations émises au
porteur seront cotées sur Euronext Brussels. L'émetteur D'Ieteren Trading
b.v., le garant D'Ieteren s.a. et ses filiales peuvent à tout moment procéder au
rachat sur le marché ou de gré à gré d'obligations accompagnées des
coupons non échus.

Le prospectus de l'émission sera disponible dès le 24 juin sur notre site
www.dieteren.com ou aux guichets et sites internet des banques précitées.

Openbare uitgifte van een obligatielening
van EUR 100 miljoen

D'Ieteren n.v. maakt bekend dat het, via zijn dochtermaatschappij D'Ieteren
Trading b.v., in een openbare inschrijving vanaf 24 juni 2005 in België een
obligatielening zal aanbieden met een looptijd van 10 jaar ten bedrage van
EUR 100 miljoen, met een nominale brutorente van 4,25%. Deze inzameling
van fondsen past in de diversificatiestrategie van de financieringsbronnen en
is bedoeld voor de algemene behoeften van de vennootschap.

De inschrijvingsperiode loopt tot 25 juli 2005, onder voorbehoud van
vervroegde afsluiting. D'Ieteren heeft de banken Fortis en KBC aangesteld als
lead managers van deze lening. De obligaties aan toonder zullen worden
genoteerd op Euronext Brussels. De emittent D'Ieteren Trading b.v., de borg
D'Ieteren n.v. en elk van zijn dochtermaatschappijen mogen op elk moment
overgaan tot terugkoop op de markt of onderhandse terugkoop van obligaties
vergezeld van alle niet-vervallen coupons.

Het uitgifteprospectus zal vanaf 24 juni verkrijgbaar zijn op onze website
www.dieteren.com en aan de loketten en op de websites van de
bovengenoemde banken.

Public offering of a EUR 100 million bond

D'Ieteren s.a. has announced that it will be offering for public subscription in
Belgium, through its subsidiary D'Ieteren Trading b.v., a ten-year bond of EUR
100 million at 4.25% nominal gross rate from 24 June 2005. This bond issue
will enable D'Ieteren to diversify its financial resources and will be used for the
company's general needs.

The subscription period extends until 25 July 2005, unless closed earlier.
D'Ieteren has appointed Fortis Bank and KBC Bank as the lead managers for
this loan. The bonds will be issued in bearer form and will be listed on
Euronext Brussels. The issuer D'Ieteren Trading b.v., the guarantor D'Ieteren
s.a. and any of its subsidiaries, may call in the bonds and any outstanding
coupons and redeem them privately or on the exchange market at any time.

The prospectus for the bond offering will be available as at 24 June on our
website ww.dieteren.com or in the branches and websites of the above-
mentioned banks.
